1. About These Terms

These Terms govern access to and use of the Hoxley platform (the “Service”), operated by Hoxley Limited, a company registered in England and Wales (Company No. 17054172).

By accessing or using the Service, you agree to these Terms.

If you use Hoxley on behalf of an organisation, you confirm that you have authority to bind that organisation.


2. The Service

Hoxley is an AI-powered compliance analysis platform designed for FCA authorised firms. It enables users to:

  • Import compliance documentation
  • Analyse documents against FCA regulatory requirements
  • Receive structured findings and suggested amendments

The Service is provided as a tool to assist internal compliance processes.


3. Accounts

You must:

  • Provide accurate account information
  • Maintain the security of your account
  • Notify us promptly of unauthorised use

We may suspend or terminate accounts where we reasonably believe these Terms have been breached.


4. Your Content

You retain ownership of documents and content you upload (“Your Content”).

You grant us a limited, non-exclusive licence to:

  • Store and process Your Content to provide the Service
  • Transmit Your Content to third-party AI providers for analysis
  • Generate analytical outputs based on Your Content

You confirm that you have the necessary rights and permissions to upload and process Your Content.


5. AI and Regulatory Disclaimer

The Service uses artificial intelligence to generate analysis and suggested amendments.

You acknowledge and agree that:

  • Outputs do not constitute legal or regulatory advice.
  • AI-generated content may be inaccurate or incomplete.
  • All outputs must be reviewed by a suitably qualified compliance professional before implementation.
  • You remain solely responsible for your firm's compliance with applicable laws and FCA rules.

Hoxley does not replace professional legal or compliance advice.


6. Acceptable Use

You must not:

  • Use the Service unlawfully
  • Attempt to access data belonging to other users or firms
  • Interfere with the operation or security of the Service
  • Reverse-engineer or misuse the platform
  • Upload unlawful or infringing material

7. Notion Integration

If you connect a Notion workspace:

  • You authorise Hoxley to access content you choose to share.
  • Imported content is copied into Hoxley for analysis.
  • You may disconnect the integration at any time.

Hoxley is not affiliated with Notion Labs, Inc.


8. Fees

The Service may be offered free of charge during an evaluation period.

If fees are introduced, we will notify you in advance. Continued use following notice constitutes acceptance of applicable fees.


9. Availability

We do not guarantee uninterrupted availability of the Service.

The Service may be suspended or unavailable due to maintenance, security updates or circumstances beyond our control.


10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available”.
  • We do not warrant that outputs will be accurate or suitable for your particular regulatory circumstances.
  • We are not liable for any indirect, consequential, or business losses.

Our total aggregate liability arising from or in connection with the Service shall not exceed:

  • The fees paid by you in the 12 months preceding the claim; or
  • £100 if no fees have been paid.

Nothing in these Terms excludes liability that cannot lawfully be excluded under English law.


11. Termination

You may stop using the Service at any time.

We may suspend or terminate access if:

  • You breach these Terms
  • Required by law
  • We discontinue the Service (with reasonable notice)

12. Data Protection

Personal data is processed in accordance with our Privacy Policy.

Where you upload personal data belonging to third parties, you are responsible for ensuring lawful processing.


13. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction.


14. General

These Terms constitute the entire agreement between you and Hoxley Limited in relation to the Service.

If any provision is unenforceable, the remaining provisions remain in effect.
